1. Scope of Engagement & Deliverables
The Company provides professional technical software engineering, technical SEO auditing, data infrastructure engineering, and digital marketing consulting services. The specific scope, technical deliverables, milestones, and timelines for each engagement are defined in a mutually executed Statement of Work (SOW) or written sprint proposal.
Any material modifications to the scope of work during an active engagement must be documented in a written Change Order signed by both authorized representatives.
2. Invoicing, Fees, and Milestone Payments
Clients agree to compensate the Company in United States Dollars (USD) according to the pricing and payment milestones specified in the applicable SOW.
- Fixed-Milestone Sprints: A 50% initial commitment deposit is required prior to project commencement, with the remaining 50% due upon completion of defined acceptance criteria.
- Monthly Architecture Retainers: Invoiced in advance at the start of each 30-day billing cycle.
- Payment Term: Invoices are payable upon receipt or Net 14 days where explicitly designated in the SOW.
- Payment Rails: Payments are processed via secure domestic/international wire transfer, ACH, or designated commercial banking facilities.
3. Intellectual Property Rights & Ownership
Pre-Existing Tools: The Company retains all rights, title, and interest in its proprietary developer utilities, core component libraries, and general methodologies developed independently of the Client's engagement.
Deliverables & Work Product: Upon complete and final payment of all outstanding invoices, the Company assigns to the Client full and exclusive ownership of all custom software code, documentation, wireframes, and deliverables specifically created for the Client under the applicable SOW.
4. Client Obligations & Access
Timely delivery depends on active Client collaboration. The Client agrees to provide reasonable access to necessary repositories, cloud platforms, domain registries, and stakeholders within three (3) business days of request. Unreasonable delays caused by Client inactivity will extend delivery milestones accordingly.
5. Confidentiality & Non-Disclosure
Both parties agree to treat all business plans, customer data, proprietary code, and financial terms disclosed during the engagement as strictly confidential. Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by applicable law or regulatory authority.
6. Warranties & Limitation of Liability
The Company warrants that services will be performed in a professional, workmanlike manner in conformity with standard industry practices. Custom code deliverables carry a thirty (30) day defect remediation warranty post-delivery.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
